National Virtual Conference on “Corporate Whistleblower Policy in India” on Thursday, 8 December 2022

Mahatma Gandhi once said that “There is a Court, higher than the Court of Justice, it is the Court of Conscience, and it supersedes all”.  In the current business environment, an individual is empowered to complain or raise concerns about any malpractice or misconduct under the whistle-blower-policy. This ultimately ascribes the organisation to benefit from greater prospects of combating fraud, avoid reputational damage, prevent issues escalation, minimise losses, raise awareness and create open culture. Employee’s conscience coupled with a strong policy framework is quintessential for attaining a good corporate governance atmosphere. To ensure that the corporate culture as per evolving ESG criteria is upheld, the need to protect the rights of the employees and directors who raise their voice against any malpractice or illegal act is necessary.

In the Indian context, The Companies Act, 2013, and SEBI (through revisions of Clause 49 of the Listing Agreement) have made it mandatory for certain classes of companies to put in place a whistleblower Policy.  The whistleblowers often face threat of retaliation, mental trauma, inability to prove their claims due to lack of , loss of pay and loss of jobs, etc. hence, the need of hour is to review and revisit the effectiveness of policies together with impact outcomes of Whistleblower Policy in India so far.
